Acceptance of Terms

By accessing or using SellerKit ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legal agreement between you ("User", "you") and SellerKit ("Company", "we", "us", "our").

Description of Service

SellerKit is a software-as-a-service (SaaS) platform that integrates with the TikTok Shop Open Platform to provide tools for sellers, including:

• Product listing and inventory management
• Order processing and fulfillment tracking
• Financial reporting and analytics
• Customer service and chat management
• Shop performance dashboards

SellerKit is an independent third-party application. We are not affiliated with, endorsed by, or sponsored by TikTok, ByteDance, or any of their affiliates.

Eligibility

To use SellerKit, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have a valid and active TikTok Shop seller account
• Have the legal authority to bind any business entity you represent
• Not be prohibited from using the Service under applicable laws
• Comply with TikTok Shop's own Terms of Service and Seller Agreement

Account Registration

To access SellerKit, you must create an account and authorize the connection to your TikTok Shop via OAuth. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

Acceptable Use

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate TikTok Shop's policies or Terms of Service
• Attempt to reverse engineer, decompile, or hack the Service
• Use the Service to send spam, malware, or harmful content
• Resell, sublicense, or redistribute the Service without our written permission
• Use automated scripts or bots to access the Service beyond intended use
• Impersonate any person or entity, or misrepresent your affiliation
• Interfere with or disrupt the Service or its infrastructure

Subscription & Payment

Free and Paid Plans

SellerKit offers both free and paid subscription plans. Features available depend on the plan you choose. Paid subscriptions are billed in advance on a recurring basis (monthly or annually).

Billing

• You authorize us to charge your payment method for the applicable fees
• All fees are non-refundable unless explicitly stated
• You are responsible for any taxes applicable in your jurisdiction
• We may change our pricing with at least 30 days' notice

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing cycle.

Intellectual Property

All content, features, and functionality of SellerKit — including software, design, text, graphics, and trademarks — are the exclusive property of SellerKit and its licensors, protected by international copyright and intellectual property laws.

You retain ownership of your data (products, orders, customer information, etc.) that you connect through the Service. You grant us a limited license to process this data solely for the purpose of providing the Service to you.

Third-Party Services

SellerKit depends on the TikTok Shop Open Platform and other third-party services. We are not responsible for:

• Changes or discontinuation of TikTok Shop APIs
• Outages or downtime of third-party services
• Data accuracy issues originating from third-party platforms
• Actions taken by TikTok regarding your seller account

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, secure, or meet your specific requirements.

To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, SellerKit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or revenue, arising from your use of the Service.

Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless SellerKit, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your violation of these Terms or misuse of the Service.

Termination

We may suspend or terminate your access to the Service at any time, with or without cause, including for violation of these Terms. Upon termination:

• Your right to use the Service ceases immediately
• Your data will be deleted according to our Privacy Policy
• Outstanding fees remain due and payable
• Provisions that should survive termination will remain in effect

You may also terminate your account at any time by deleting it from your settings.

Changes to Terms

We may modify these Terms at any time. When we do, we will update the "Last updated" date and notify you of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the Republic of Indonesia, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the courts of Jakarta, Indonesia.
